Terms of Service
1. Who we are
Oruco designs, builds and manages AI operating systems, agents, workflows, dashboards and related business infrastructure. These terms are between you and Oruco. For questions about them, contact team@oruco.com.
2. What these terms cover
These terms govern your use of the Oruco agent portal at app.oruco.com, the agent definitions made available through it, the connection between the portal and your AI assistant, and any agent you obtain free or paid. By signing in you accept them.
These terms do not replace a client agreement, statement of work or data processing agreement. Where you engage Oruco to build or manage a system, that agreement governs the engagement and takes precedence over these terms to the extent of any conflict. Our privacy policy explains how we handle personal information and forms part of these terms.
3. What the portal provides
The portal provides agent definitions. An agent definition is a set of written instructions, together with a description of the tools it expects and the output it produces, that tells an AI model how to carry out a specific task.
Oruco serves those definitions. Oruco does not run them. When you use an agent it executes inside your own AI assistant, on your own subscription, using tool connections you already hold. Oruco does not receive the material the agent reads or the output it produces.
4. Accounts and eligibility
You sign in with Google. You must be at least eighteen and, where you act for an organisation, authorised to accept these terms on its behalf. An account belongs to one person. You are responsible for activity under your account and for the security of the Google account used to access it.
Keep your details accurate. We may refuse, suspend or close an account where these terms are broken or where we are required to do so.
5. Redemption codes
Codes unlock specific agents. Some are issued generally and some are personal, meaning they are tied to a named email address and can only be claimed by that recipient. Codes may carry an expiry date or a limit on the number of times they can be used.
Codes have no cash value, cannot be exchanged, resold or transferred, and may be withdrawn before they are claimed. Once a code has granted you an agent, that entitlement is not affected if the code is later withdrawn.
6. Your licence to use the agents
For each agent you are entitled to, Oruco grants you a personal, non-exclusive, non-transferable, revocable licence to use it. You may use it in your own business, use it in work you deliver for your own clients, and adapt it for those purposes. Free agents remain free.
The licence is for use, not ownership. It does not include the right to redistribute the definitions themselves. Where a paid tier explicitly provides source access and permission to build on it commercially, the terms of that tier apply in addition to these.
7. What you may not do
Do not resell, republish or redistribute the agent definitions as a product of your own. Do not share your account, pool an entitlement across multiple people or organisations, or use one account to serve several businesses. Do not systematically extract the catalogue, whether by automated means or by loading agents in order to copy them.
Do not use an agent to break the law, infringe another party’s rights, process personal information you have no lawful basis to process, or produce material that is unlawful, deceptive or harmful. Do not attempt to interfere with the portal, circumvent entitlement checks, or probe the service for weaknesses without written permission.
8. Agents change over time
Agents are served live rather than downloaded once. This lets us correct a fault for everyone at once and improve an agent as we learn what works. It also means an agent’s behaviour can differ between one run and the next.
Every agent carries a version number, and we record which version you last received. Changes we expect to break work built on top of an agent increase the major version. Where you export an agent to a file, that file will go out of date. Agents used through a live connection stay current.
9. Agent tiers and what each one does
Session agents run when you prompt them. Routine agents run on a schedule you set and require Claude Code with routines enabled. Always-on agents are event-driven systems built and operated by Oruco as a delivered engagement, and are not self-serve.
Every agent listing states plainly what causes it to run. Oruco does not describe an agent as continuous monitoring where it is not. Where an agent depends on a scheduled feature of a third-party plan, the frequency and daily limits of that plan are set by the provider and can change without notice to us.
10. Your own subscriptions and connected tools
Agents require your own AI assistant subscription. Many also require connections you hold to other services, such as a notetaker, a mailbox or a customer record system. Those services are governed by their own terms and are not provided by Oruco.
Oruco is not responsible for the availability, pricing, rate limits, feature changes or discontinuation of any third-party service, nor for a change on their side that stops an agent working as described. Where we become aware of such a change we will update the agent or its listing.
11. Fees, payment and refunds
Paid agents and bundles are one-off purchases. Prices are shown before you buy and include or exclude tax as stated at the point of sale. Payment is processed by Stripe. Oruco does not receive or store your card details.
Because a purchased agent is delivered immediately and in full, you agree that supply begins at once and that any statutory cancellation period ends on delivery. If an agent does not do what its listing said it would, contact us and we will correct it or refund it.
12. The AI Audit
The AI Audit is a paid consulting session. It is booked and paid for in advance. You receive a review of the workflows discussed and an indication of what implementation would involve and cost.
Where you proceed to an implementation with Oruco within the window agreed at the time of booking, the audit fee is credited in full against that implementation. The audit is a diagnostic exercise. It is not a commitment by either party to enter into an implementation agreement.
13. Intellectual property
Oruco and its licensors own the portal, the agent definitions, the catalogue, the Oruco name and marks, and all associated intellectual property. Nothing in these terms transfers ownership of any of it to you.
You own the output an agent produces from your own data, subject to any rights of the third parties whose material was involved and to the terms of the AI provider whose model generated it. You are responsible for checking that you have the right to use that output for your intended purpose.
14. Your content and confidentiality
You retain all rights in the data your agents process. Because agents run in your own environment, that data does not pass through Oruco. Where you volunteer information about the tools you use so that an agent can configure itself, we hold it as described in our privacy policy and you may ask us to remove it.
Where either party receives confidential information from the other, it will use it only for the purpose it was given and protect it with reasonable care. This does not apply to information that is public, already known, independently developed, or required to be disclosed by law.
15. No professional advice
Agents draft, extract, classify, rank and summarise. Their output is a starting point produced by a statistical model, not advice. It is not legal, financial, tax, medical, employment or regulatory advice and must not be relied on as though it were.
Check output before you act on it, send it to a customer, publish it or make a decision based on it. Agents that produce outward-facing material create drafts for your approval rather than sending on your behalf. Responsibility for what you send remains yours.
16. Availability and support
We aim to keep the portal available and the catalogue working, but we do not guarantee uninterrupted or error-free service. We may change, suspend or withdraw an agent, a feature or the portal itself, and we may carry out maintenance.
Where we withdraw an agent you are entitled to, we will give reasonable notice where we can and, where you paid for it, offer a fair remedy. Reasonable-use and rate limits apply to protect the service for everyone. Support is provided through the channels stated in the portal.
17. Warranties
We provide the portal and the agents with reasonable skill and care. Beyond that, and to the extent permitted by law, they are provided as they are, without further warranty of any kind, including any implied warranty of merchantability, fitness for a particular purpose or non-infringement.
We do not warrant that an agent will produce a particular result, that its output will be accurate or complete, or that it will suit your specific circumstances.
18. Liability
Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for anything else that cannot lawfully be limited.
Subject to that, neither party is liable for indirect or consequential loss, nor for loss of profit, revenue, business, goodwill, anticipated savings or data, however arising. Our total liability arising out of or in connection with these terms is limited to the greater of the amount you paid Oruco under them in the twelve months before the claim, or one hundred pounds.
You accept that these limits are reasonable given that the agents are supplied as definitions which run in your environment, under your control, on output you are required to check.
19. Indemnity
You will indemnify Oruco against claims, losses and reasonable costs arising from your use of an agent in breach of these terms, your use of output without the checking described above, or your infringement of a third party’s rights.
20. Suspension and termination
You may stop using the portal at any time. You can revoke the connection between your AI assistant and Oruco from your account page, which takes effect immediately, and you can ask us to close your account and delete your data.
We may suspend or close an account that breaches these terms, in particular where the catalogue is being extracted, an entitlement is being shared, or the service is being used unlawfully. Where the breach is capable of remedy we will normally raise it with you first. On termination your licences end. Sections that by their nature should survive will survive.
21. Changes to these terms
We may update these terms as the service changes. The current version is always on this page and the date at the top is revised. Where a change materially affects your rights we will take reasonable steps to tell you before it takes effect. Continuing to use the portal after that point means you accept the updated terms.
22. Governing law and jurisdiction
These terms and any dispute arising out of them are governed by the law of England and Wales. The courts of England and Wales have exclusive jurisdiction, save that we may bring proceedings to protect our intellectual property in any competent court.
If any provision is found to be unenforceable, the rest continues in force. A failure to enforce a provision is not a waiver of it. There are no third-party beneficiaries to these terms.
